Question 1

What is a Limited Liability Partnership?

Accepted Answer

A Limited Liability Partnership, or LLP, is a body corporate registered under the Limited Liability Partnership Act, 2008. It has its own legal identity, separate from its partners, and continues to exist despite changes in the people participating in it.

The partners organise their relationship through an LLP Agreement. That agreement can set out how they contribute, manage the business and share profits. This combination of a separate entity and an agreed partnership arrangement is useful for founders who want to run a business together without a company's share-based ownership structure.

Question 2

Who should choose an LLP?

Accepted Answer

An LLP can suit two or more founders who want to work together and agree their management and profit-sharing arrangements in a flexible partnership document. Professional practices, consultancies and other partner-led businesses often consider it when outside share investment is not central to their plans.

Look at how the business will actually operate: who contributes money or expertise, who makes decisions, and how partners may join or leave. A carefully discussed agreement matters more than a generic assumption that every LLP is simple to run.

Question 3

How is an LLP different from an ordinary partnership?

Accepted Answer

An LLP is an incorporated entity with a legal identity separate from its partners. An ordinary partnership follows a different legal framework and does not provide the same general limited-liability structure. The liability consequences are therefore a significant distinction when founders compare the two.

The LLP also has registration, record-keeping and recurring filing responsibilities. Choosing it means accepting those duties rather than simply adding a suffix to a partnership name. Your adviser can help compare the commercial relationship, expected risks and ongoing work before you commit to either arrangement.

Question 4

How many partners are needed?

Accepted Answer

An LLP needs at least two partners. It must also have at least two designated partners who are individuals, with at least one satisfying the resident-in-India requirement. A partner and a designated partner are related but distinct roles in the LLP framework.

Choose people who understand their involvement and responsibilities. Adding a name merely to meet a numerical requirement can create practical problems later. Agree participation, contribution, authority and the consequences of an exit before registration, and put the commercial arrangement into the LLP Agreement.

Question 5

What is a designated partner?

Accepted Answer

Designated partners carry particular responsibilities for the LLP's statutory compliance, including the required acts, filings and documents. They are individuals identified for that role; where a body corporate participates, an eligible individual may act as its nominee under the applicable arrangement.

The role should be accepted with a clear understanding of who will prepare information, maintain records and authorise filings. Appointing a professional to assist does not make the designated partners' responsibilities disappear. Good internal communication helps them avoid discovering an overdue obligation only when a penalty has already arisen.

Question 6

Can an NRI or foreign investor participate?

Accepted Answer

An overseas participant may be able to take part in an LLP, but the answer depends on more than LLP incorporation rules. Foreign investment eligibility, the business sector, the investment route and reporting requirements need to be assessed separately. Overseas documents may also require additional authentication.

Explain the proposed ownership, each person's citizenship and residence, and how funds will enter India before the agreement is finalised. A business with cross-border participation should not assume that an arrangement suitable for two resident Indian partners can be copied without further checks.

Question 7

What does resident in India mean for a designated partner?

Accepted Answer

For the LLP Act's designated-partner requirement, the residence test refers to a stay in India of at least 120 days during the financial year. It is a specific company-law-style compliance test and should not be casually substituted with a different tax or immigration definition of residence.

Discuss travel plans and the actual dates with your adviser, especially for a newly incorporated LLP or an overseas founder. The practical arrangement must continue to satisfy the LLP's requirements as people move, travel or change their role during the year.

Question 8

When is a Private Limited Company more suitable?

Accepted Answer

A Private Limited Company is often considered when founders want a share-based ownership structure, conventional employee stock options or investment from parties expecting to receive company shares. An LLP has partnership interests rather than share capital, so the mechanics of ownership and funding are different.

Neither route replaces the need for a good founders' agreement and clear records. Compare your likely funding discussions, the way partners will be paid and your plans for expansion. It is easier to choose with those plans in mind than to restructure during an urgent transaction.

Question 9

What protection does limited liability provide?

Accepted Answer

The LLP is responsible for its obligations, and a partner is not personally liable merely because they are a partner. The Act distinguishes between the LLP's liability and the consequences of a person's own conduct. A partner's agreed contribution also remains an obligation under the relevant arrangement.

Protection is not unlimited in every circumstance. Fraud, personal guarantees and a person's own wrongful acts can change the position. Keep the LLP's contracts and accounts separate from personal affairs and understand any personal commitment before signing it on behalf of the business.

Question 10

Can partners decide their own profit-sharing ratio?

Accepted Answer

Partners can agree their profit-sharing arrangements in the LLP Agreement. The ratio does not have to be treated as a casual reflection of who paid the last business expense. Contribution, profit share, management authority and remuneration are different matters and should be addressed deliberately.

Discuss how the arrangement works when profits are low, a partner stops working or the business needs more money. Clear drafting makes the relationship easier to manage when circumstances change. Any later change should be documented and reported through the required process rather than implemented only in a spreadsheet.

Question 11

Can an LLP raise money from investors?

Accepted Answer

An LLP can receive permitted partner contributions and may borrow, but it does not issue company shares. Someone investing as a partner needs an arrangement suited to partnership rights, responsibilities and the LLP Agreement. A loan is a separate transaction with its own terms and regulatory considerations.

If a potential investor expects preference shares or a familiar venture-capital structure, discuss that expectation early. A Private Limited Company may be more suitable for the proposed investment. Do not assume that the label “investment” makes every funding instrument available to every type of entity.

Question 12

Can an LLP offer ESOPs?

Accepted Answer

An LLP has no company share capital, so conventional company ESOPs are not available in the same form. Partners can explore contractual incentives or an appropriately structured admission of a person as a partner, but those choices have different legal, commercial and tax consequences.

Explain the intended incentive in practical terms: cash linked to performance, a share of future profits, or an ownership interest. A professional can then assess a suitable arrangement. If broad employee share ownership is a central goal, compare a company structure before making promises to the team.

Question 13

Is an LLP cheaper to maintain?

Accepted Answer

An LLP may have fewer company-style meeting formalities, and its audit position depends on the applicable thresholds and rules. That can reduce some administration in a small business. It still needs proper accounts, annual filings, tax compliance and records of changes affecting the LLP and its partners.

Ask for a cost estimate based on the actual transactions, staffing, tax registrations and reporting needs. A low number of partners does not necessarily mean a low volume of accounting work. Compare complete annual responsibilities rather than the price of one return or the incorporation package alone.

Question 14

What happens if partners disagree?

Accepted Answer

The LLP Agreement should set out decision-making, authority, dispute resolution and exit arrangements. Without a clear agreement, partners may find that the applicable default provisions do not reflect what they intended commercially. Ambiguous expectations can make an otherwise workable business difficult to manage.

Discuss disagreements before there is one: how important decisions are approved, what happens if votes are tied, and how a departing partner's position is settled. Record the agreed process clearly. A disagreement over management does not excuse missing filings or ignoring the LLP's obligations to employees, lenders and customers.

Question 15

What are the main registration steps?

Accepted Answer

Start by agreeing the partners, designated partners, proposed name, business activity and registered office. Arrange the required digital signatures and identification details, then prepare the incorporation application through the MCA's FiLLiP process. Name reservation may be dealt with through the relevant MCA route.

After incorporation, the partners must complete the LLP Agreement and the required filing, together with banking and other setup work. Keep time for these post-registration steps in your launch plan. Receiving the incorporation certificate establishes the LLP, but does not complete every task needed to operate it properly.

Question 16

What must an LLP name end with?

Accepted Answer

The registered name must use “Limited Liability Partnership” or “LLP” as required by the naming framework. The proposed name must also satisfy restrictions on undesirable names and resemblance, and certain words or activities may require supporting approval.

Choose names that describe the business clearly and check relevant trade mark concerns before committing to branding. An MCA name search is useful preparation, but the authority's approval is still required. Keep alternative names ready so a query or rejection does not force a hurried decision during the application process.

Question 17

Is name reservation the same as incorporation?

Accepted Answer

No. Reserving a name is a step towards incorporation; it does not create the LLP or authorise it to act as an incorporated entity. The incorporation application and its supporting information must still be completed and approved through the relevant MCA process.

Track the reservation's validity and the information needed for the next stage. A reserved name should not be treated as a reason to sign contracts in the name of an LLP that does not yet exist. Your adviser should confirm when the entity has actually been registered.

Question 18

Is there a minimum contribution?

Accepted Answer

The partners should agree the contribution each will make and record it properly. Contribution is distinct from the professional fee for setting up the LLP. It may involve money or other permitted forms, with valuation and documentation requirements depending on what is being contributed.

Choose a contribution arrangement that reflects the business rather than using a token figure without discussion. The agreement should explain the commitments, timing and consequences if a partner does not contribute as promised. Filing fees and state stamp duty should be assessed for the proposed arrangement before documents are executed.

Question 19

What is FiLLiP?

Accepted Answer

FiLLiP is the MCA's incorporation form for an LLP. It collects the proposed LLP's information and the details needed for registration. The current form and its instruction kit govern the fields, attachments and any linked identification or registration steps available during the process.

The filing should reflect the partners' agreed plan, not create a plan by default. Check the name, address, business activity and partner particulars carefully before authorising submission. Where someone already has a DIN or DPIN, disclose it so the application uses the correct existing identification.

Question 20

What are DSCs and DIN or DPIN details used for?

Accepted Answer

Digital signatures are used for electronic filing, while DIN or DPIN details identify the relevant individuals in the corporate system. Your adviser will check which participants need a digital signature and how any required identification is obtained or used in the current incorporation process.

Keep signature credentials secure and review documents before authorising their signing. An existing identification number should be disclosed rather than replaced with a duplicate application. If an individual is already a company director or a designated partner elsewhere, mention that at the start of the document checklist.

Question 21

How long does LLP registration take?

Accepted Answer

The time depends on the readiness of the documents, the name and incorporation review, and any request for clarification. Inconsistent personal details, unsuitable address proof or unresolved agreement terms can cause avoidable delays before or during filing.

Plan for the steps after approval too, including signing and stamping the LLP Agreement, its filing and the bank account. A registration service can coordinate the work but cannot guarantee the authority's processing time. Confirm the actual status before committing to a launch date that depends on the LLP already existing.

Question 22

Is the LLP Agreement filed after incorporation?

Accepted Answer

The initial LLP Agreement information is filed in Form 3 within 30 days of incorporation under the prescribed framework. The agreement is therefore an early compliance task, not paperwork to postpone until the business becomes profitable. Execution and applicable stamp duty need to be arranged appropriately.

Agree the commercial terms before incorporation so the final document can be completed promptly. Your adviser should confirm the current filing requirements and supporting documents for your case. Keep the signed agreement and acknowledgement together, as both will be needed when explaining the LLP's arrangements later.

Question 23

What documents do the partners need?

Accepted Answer

The checklist normally covers identity, address and contact information, together with the details needed for the proposed role and digital-signature process. The exact evidence varies for resident individuals, overseas individuals and body corporate partners. Existing DIN or DPIN details should be disclosed.

Check that names, dates and addresses are consistent before the application is prepared. If a supporting document is outdated or uses a different name, raise it early rather than assuming the difference will be overlooked. A case-specific checklist helps collect what is needed without circulating unnecessary personal records.

Question 24

What proof is required for the registered office?

Accepted Answer

The LLP needs evidence of its registered-office address and permission to use the premises. The document set depends on whether the property is owned, rented or provided through another arrangement, and may include ownership or tenancy evidence, the owner's consent and a suitable utility bill.

Ask the owner or workspace provider about the required documents before choosing the address. The LLP must be able to receive official communications there. A marketing address or mail-forwarding arrangement should not be assumed to meet the registered-office requirements without reviewing the actual premises and supporting evidence.

Question 25

Can a home or shared office be used?

Accepted Answer

A home or shared office may be suitable where the LLP has the right to use it and can provide the required documents. The choice should also account for tenancy conditions, local requirements, the business activity and any relevant licences.

Consider how official notices will be received and who is responsible for checking them. The registered address is part of the public record. A shared workspace should provide more than a sales promise: confirm the permission, evidence and operational arrangements needed for your adviser to assess whether it can be used properly.

Question 26

What should the LLP Agreement contain?

Accepted Answer

The agreement should explain the partners' contribution, profit sharing, responsibilities and decision-making arrangements. It should also address changes in partners, retirement, disputes and what happens if the business needs more funds or closes. The appropriate detail depends on how the founders intend to work together.

Read it as an operating document rather than a registration formality. Test it against realistic situations, such as one partner being unable to work for several months or wanting to leave. Terms discussed verbally should be reflected clearly before everyone signs and the required filing is made.

Question 27

Are overseas documents treated differently?

Accepted Answer

Documents executed abroad may require notarisation, apostille or consular authentication, depending on the country and applicable requirements. Identity documents, signatures and any translations need to meet the checklist for the actual participant and signing location.

Tell your adviser where each person lives and where documents will be signed before arranging authentication. For a body corporate partner, additional authorisation and nominee documents may be relevant. Collecting the right evidence at the start avoids delays caused by trying to use a resident-individual checklist for a different legal or overseas situation.

Question 28

Is stamp duty included in the agreement process?

Accepted Answer

Stamp duty on the LLP Agreement depends on the applicable state law and the relevant details of the agreement. It is separate from professional fees and MCA filing charges. The timing and method of stamping should be confirmed before execution rather than treated as an optional administrative step.

Give your adviser the intended state and contribution details so they can identify the applicable treatment. Retain evidence of stamping with the signed agreement. A document downloaded from another business or another state may not reflect the correct requirements for your LLP.

Question 29

What should partners do first after incorporation?

Accepted Answer

Complete and file the LLP Agreement within the applicable period, arrange banking and organise the accounting records. Check the incorporation documents and the details recorded for the partners and registered office. Identify any tax, employment or activity-specific registrations the business needs.

Agree who will collect invoices, reconcile the bank account and coordinate filings. The designated partners should know how they will receive reminders and approve documents. Starting with a shared calendar and a single organised record set is easier than reconstructing the LLP's first months just before an annual deadline.

Question 30

What is Form 11 and when is it due?

Accepted Answer

Form 11 is the LLP's annual return. The statutory framework requires the annual return within 60 days of the close of the financial year; for a usual 31 March year end, this ordinarily points to 30 May, subject to any applicable official extension.

It reports the required LLP and partner information and is separate from the financial-statement and income-tax filings. Have your adviser check the actual year, current form and certification requirements. Keep partner changes properly recorded throughout the year so the annual return can be prepared from accurate information.

Question 31

What is Form 8 and when is it due?

Accepted Answer

Form 8 is the Statement of Account and Solvency. Under the ordinary annual timetable, it is filed within 30 days after the end of six months from the financial-year close. For a normal 31 March year end, this generally means 30 October, subject to applicable extensions and the circumstances of the filing.

Preparing it requires proper accounts and consideration of solvency; it should not be treated as a box-ticking return. Confirm the applicable audit and certification position with your CA and arrange the accounting information well before the filing date.

Question 32

When does an LLP need an audit?

Accepted Answer

The audit and certification position is assessed using the LLP rules, including the commonly relevant ₹40 lakh turnover and ₹25 lakh contribution thresholds. Your CA should check the precise application of the exemption and the current Form 8 requirements against both figures, rather than assuming that a small team is automatically exempt.

A separate income-tax audit assessment may also be needed under the tax rules. Keep these two questions distinct. Even where an audit exemption is available, the LLP still needs proper accounts and must complete the filings and records that apply to it.

Question 33

What income-tax rate applies to an LLP?

Accepted Answer

The Income Tax Department's guidance for assessment year 2026–27 states a 30% rate for a partnership firm, including an LLP. It also describes a 12% surcharge where taxable income exceeds ₹1 crore, subject to marginal relief, and 4% health and education cess on tax plus applicable surcharge.

Those are rates for the stated assessment year, not a calculation of your bill. Income character, deductions and other provisions can affect the result. Your CA should confirm the current law and the relevant year, including any alternative minimum tax implications, before estimating liability.

Question 34

Are annual filings needed if there is no business?

Accepted Answer

An LLP does not disappear because it has no sales or the partners have stopped using it. Annual reporting and other obligations need to be assessed while it remains registered, and inactivity should not be taken as an automatic exemption from filing.

Keep a record even of a quiet year: bank charges, contribution, expenses and any outstanding debts can still matter. If the LLP is no longer needed, ask about a proper closure route rather than leaving it unattended. Missed filings can make a later restart or closure more difficult and expensive.

Question 35

How do I add or remove a partner?

Accepted Answer

Admission and cessation should follow the LLP Agreement and the applicable statutory process. The required consents, agreement changes and partner details need to be documented, with Form 4 and any linked Form 3 requirements considered for the particular change.

Agree the commercial consequences as well as the filing: contribution, outstanding payments, profit entitlement and authority to sign need to be clear. Update bank mandates and practical access where appropriate. A person leaving the daily business does not necessarily complete their formal retirement from the LLP merely by handing over a laptop.

Question 36

Can the profit-sharing ratio or agreement be changed?

Accepted Answer

Partners can change their arrangements through the approvals and process required by the LLP Agreement and law. The change should be recorded in a properly executed supplementary or revised agreement, with the applicable Form 3 filing and related requirements completed.

Discuss the effective date and accounting consequences before making payments using a new ratio. A change in contribution, admission or retirement may involve additional documentation and linked filings. Keeping the signed terms, accounting records and MCA information consistent avoids disputes about which arrangement applied during a particular period.

Question 37

Can an LLP become a Private Limited Company?

Accepted Answer

An eligible LLP may use the prescribed route to register as a company, subject to the applicable conditions, approvals and documentation. This is a planned restructuring exercise, not simply changing the letters at the end of the business name.

Before beginning, review liabilities, contracts, licences, tax consequences and the proposed shareholding. Lenders, customers and other counterparties may need to be involved. If the reason is an investment, coordinate the restructuring with the investor's requirements so the final company structure and the intended transaction can work together.

Question 38

How do we close an LLP that is no longer needed?

Accepted Answer

The closure route depends on the LLP's activity, assets, liabilities, filings and other circumstances. An eligible inactive LLP may apply for striking off through the prescribed process; a business with unresolved debts or other complications may require a different legal route.

Begin with a complete review of the accounts and obligations rather than simply stopping the bank account or ignoring reminders. Settle the treatment of partners, creditors, employees and taxes with professional advice. Keep the required records, and continue to manage compliance until the appropriate process has actually brought the LLP to an end.
